DotFiv First Venture Franchise & Partnership Agreement

This Business Franchise & Partnership Agreement (“Agreement”) is made and entered into on this ___ day of _______, 20

BY AND BETWEEN

DotFiv First Venture, a business entity engaged in providing ready-to-start digital businesses including Loan Services, Credit Card Services, Tour Packages, Product & Service Sales Solutions (hereinafter referred to as the “Company” or “DotFiv”),

AND

Mr./Ms. __________________________, residing at ________________________________, (hereinafter referred to as the “Franchisee/Partner”).

The Company and the Franchisee shall collectively be referred to as the “Parties”.

1. PURPOSE OF AGREEMENT

This Agreement defines the terms and conditions under which DotFiv grants the Franchisee the right to operate a DotFiv Ready-to-Start Digital Business under its brand name, system, and operational model.

2. GRANT OF FRANCHISE

2.1 DotFiv grants the Franchisee a non-exclusive, non-transferable right to operate the following services:

  • Loan Services
  • Credit Card Processing Services
  • Tour & Travel Packages
  • Digital Product & Service Selling
  • Any additional services introduced by DotFiv

2.2 The Franchisee shall operate strictly under the DotFiv brand guidelines and policies.

2.3 This Agreement does not create ownership rights in the DotFiv brand, trademarks, or intellectual property.

3. TERM OF AGREEMENT

3.1 The Agreement shall remain valid for a period of ___ years from the Effective Date.

3.2 Renewal may be granted upon mutual written consent and fulfillment of performance standards.

4. FRANCHISE FEES & PAYMENT TERMS

4.1 The Franchisee agrees to pay:

  • Initial Franchise Fee: ₹__________
  • Security Deposit (if applicable): ₹__________
  • Revenue Sharing / Commission Structure: ___%

4.2 Fees once paid are non-refundable unless otherwise stated in writing.

4.3 The Company reserves the right to revise commission structures with prior notice.

5. DUTIES OF DOTFIV

DotFiv agrees to:

  • Provide business setup guidance and onboarding support
  • Provide branding materials (digital format)
  • Provide basic training
  • Offer backend operational assistance
  • Update business models when required

DotFiv does not guarantee fixed income or profit.

6. DUTIES OF FRANCHISEE

The Franchisee agrees to:

  • Follow all legal and regulatory compliance requirements
  • Maintain ethical business practices
  • Avoid misrepresentation of services
  • Protect customer data and confidentiality
  • Not engage in competing business during agreement term
7. INTELLECTUAL PROPERTY

All logos, systems, content, brand names, marketing materials, and proprietary tools remain the exclusive property of DotFiv.

Unauthorized use or reproduction shall result in legal action.

8. CONFIDENTIALITY

The Franchisee agrees not to disclose:

  • Business models
  • Customer database
  • Commission structures
  • Marketing strategies
  • Operational processes

This clause survives termination of this Agreement.

9. NON-COMPETE & NON-SOLICITATION

During the Agreement and for 1 year after termination, the Franchisee shall not:

  • Start similar competing business
  • Solicit DotFiv customers or staff
  • Use DotFiv intellectual property
10. TERMINATION

DotFiv may terminate this Agreement if:

  • Fraud or misrepresentation occurs
  • Legal violations are committed
  • Brand reputation is damaged
  • Payment defaults continue beyond 15 days

Franchisee may terminate with 30 days written notice.

No refund shall be provided upon termination unless mutually agreed.

11. LIMITATION OF LIABILITY

DotFiv shall not be liable for:

  • Financial losses
  • Regulatory penalties caused by Franchisee actions
  • Indirect or consequential damages

The Franchisee operates as an independent contractor.

12. DISPUTE RESOLUTION

Any disputes shall first be resolved through negotiation.

If unresolved, disputes shall be subject to Arbitration under applicable laws of India.

13. FORCE MAJEURE

Neither Party shall be liable for failure to perform due to events beyond reasonable control including natural disasters, government restrictions, technical disruptions, or pandemics.

14. INDEMNIFICATION

The Franchisee agrees to indemnify and hold DotFiv harmless against:

  • Customer disputes
  • Regulatory penalties
  • Misrepresentation claims
  • Third-party claims due to Franchisee misconduct
15. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties and supersedes any prior discussions.
